Why AI Governance Fails in the Boardroom: 3 Structural Breakdowns to Understand

Most boards now have an AI governance policy. Many have a committee. Some have hired a Chief AI Officer. And still, when a regulator asks a pointed question or a strategic initiative stalls, a familiar gap often surfaces: the reasoning behind the decision is difficult to clearly explain.

It has remained largely unmonitored between quarterly reviews, with limited mechanisms to surface contradictions between strategic intent and operational reality before they compound into failures.
